Supplier Terms & Conditions

Etalery operates a private, managed, institutional-grade sourcing platform for the global diamond and jewellery trade.

Etalery: Acts as the exclusive interface between buyers and suppliers; Controls buyer access, pricing workflows, negotiations, and exports; Holds and manages buyer payments; Coordinates logistics, export, and delivery from India.

Suppliers do not interact directly with buyers and do not receive buyer identity or contact details.

Participation is restricted to verified manufacturers and suppliers operating in India.

Suppliers must: Be a legally registered business entity; Hold valid manufacturing, trade, and tax registrations; Complete Etalery’s KYB, compliance, and verification process; Provide accurate and complete documentation.

Etalery reserves the right to approve, reject, suspend, or terminate supplier participation at its sole discretion.

Suppliers may supply the following categories, subject to approval: Natural diamonds (certified, loose, polished); Coloured diamonds and black diamonds; Lab-grown diamonds; Finished diamond and jewellery products; Custom and bespoke jewellery orders; Rough stones (where applicable and permitted).

All goods must comply with Etalery’s sourcing, quality, and compliance standards.

Suppliers represent and warrant that: All goods are lawfully sourced and ethically procured; No materials originate from prohibited or sanctioned jurisdictions, including Russia; Goods are free from conflict-related sourcing; All certifications, declarations, and disclosures are accurate.

Suppliers must comply with: Applicable Indian laws and regulations; International trade, sanctions, and export controls; Etalery’s Code of Conduct and AML framework.

Any breach constitutes a material violation.

Etalery operates under a centralized fulfilment model. Accordingly: Suppliers ship goods only to Etalery’s designated hub in India; Suppliers do not export goods directly to buyers; Etalery manages inspection, consolidation, export, and delivery.

Suppliers must ship goods strictly in accordance with Etalery’s instructions and timelines.

Prices provided by suppliers are indicative, not retail-fixed.

Etalery may negotiate pricing with suppliers based on buyer demand.

Etalery may adjust pricing to reflect market dynamics, logistics, and buyer requirements.

Suppliers acknowledge that Etalery controls final deal execution.

Suppliers shall not independently negotiate or attempt to influence buyers.

Etalery shall pay suppliers in advance or as per agreed commercial terms, subject to order confirmation.

Payments are released only after order validation and compliance checks.

No payment is owed for unapproved, rejected, or non-conforming goods.

Suppliers have no right to claim payment directly from buyers.

All goods are subject to: Quality verification; Certification review; Compliance inspection at Etalery’s hub.

If goods fail to meet specifications: Etalery may reject, return, or request replacement; Associated costs may be borne by the supplier; Repeated failures may result in suspension.

Suppliers accept that goods may be: Rejected for quality issues; Returned for specification mismatch; Held for compliance review.

Suppliers must cooperate fully in resolving non-conformance issues and may be required to replace or refund goods.

Suppliers shall: Maintain strict confidentiality of Platform data; Not attempt to identify or contact buyers; Not bypass Etalery to transact directly with buyers.

Any circumvention attempt results in immediate termination and potential legal action.

All inventory data, images, descriptions, and pricing uploaded become part of Etalery’s Platform content.

Suppliers grant Etalery a non-exclusive right to use such content for sourcing and marketing purposes.

Suppliers retain ownership of their proprietary manufacturing IP.

Etalery reserves the right to: Conduct audits or reviews; Request additional documentation; Monitor supplier performance and compliance.

Failure to cooperate constitutes a breach.

Etalery may suspend or terminate supplier participation immediately if: Compliance breaches occur; Misrepresentation is identified; Ethical or sourcing violations arise; Platform integrity is threatened.

Termination does not affect existing obligations.

Suppliers shall indemnify Etalery against claims arising from: Breach of these Terms; False certifications or disclosures; Legal or regulatory violations; Defective or unlawful goods.

To the maximum extent permitted by law: Etalery is not liable for indirect or consequential losses; Supplier liability remains uncapped for fraud, misconduct, or legal violations.

These Supplier Terms are governed by applicable laws as determined by Etalery’s principal place of business, subject to Indian operational laws where relevant.

Etalery may amend these Supplier Terms from time to time.

Continued participation constitutes acceptance of updated terms.

These Supplier Terms constitute the entire agreement governing supplier participation and supersede prior understandings.
