Platform License Agreement
Authorized Use. Controlled Access. Institutional Standards.
This Platform License Agreement (“Agreement”) governs access to and use of the Etalery digital platform, systems, dashboards, websites, applications, and related services (collectively, the “Platform”).
This Agreement is entered into between Etalery, including its affiliated entities operating under a common holding structure (the “Company”), and the entity or individual granted access to the Platform (“Licensee” or “User”).
By accessing or using the Platform, the Licensee agrees to be bound by the terms of this Agreement.
Purpose of the License
The Platform is provided exclusively for professional, institutional, and business-to-business sourcing purposes in the diamond and jewellery industry.
This Agreement establishes the terms under which Etalery grants a limited, controlled license to access and use the Platform in accordance with its governance, compliance, and operational framework.
Grant of License
Subject to compliance, Etalery grants a:

- • Non-exclusive
- • Non-transferable
- • Non-sublicensable
- • Revocable
No ownership rights are transferred under this Agreement.
Eligibility & Authorized Users
- • Verified institutional buyers
- • Approved corporate entities
- • Authorized representatives
Licensee is responsible for ensuring only authorized personnel access the Platform using assigned credentials.
Scope of Permitted Use
- • View and evaluate verified inventory
- • Access documentation and sourcing info
- • Conduct sourcing-related activities
- • Communicate through approved mechanisms
Prohibited Activities
- • Unlawful or unauthorized purposes
- • Bypassing Platform controls
- • Accessing manufacturer details outside workflows
- • Copying, scraping, or reverse engineering
- • Misrepresenting identity or authority
- • Sharing login credentials
Platform Governance & Managed Access
Etalery operates a managed ecosystem where manufacturer identities may be anonymized, communications are controlled, and inventory access is subject to approval.
Intellectual Property Rights
All IP rights in the Platform (software, design, databases, content) are owned by or licensed to Etalery.
Data, Confidentiality & Information Use
Licensee must maintain confidentiality of non-public info and protect sensitive data as per Etalery’s Privacy Policy and Code of Conduct.
Compliance with Laws & Policies
Must comply with trade, export, sanctions, AML, and anti-corruption laws, plus Etalery’s internal policies.
Monitoring & Audit Rights
Etalery reserves the right to monitor usage, investigate suspected misuse, and conduct audits.
Suspension & Termination
Immediate termination for breach, misuse, or regulatory concerns. Access rights cease immediately upon termination.
Disclaimers
Platform provided "as-is". Etalery makes no warranties regarding availability, accuracy of 3rd party content, or commercial outcomes.
Limitation of Liability
Liability is limited to the maximum extent permitted by law for indirect or consequential damages.
Indemnification
Licensee agrees to indemnify Etalery against claims from breach, unauthorized use, or violation of laws.
Modifications
Etalery may modify the Platform or Agreement. Continued use constitutes acceptance.
Governing Law & Jurisdiction
Governed by laws of Etalery’s principal headquarters. Jurisdiction lies with competent courts as determined by corporate structure.
Assignment
Licensee may not assign without consent. Etalery may assign within its corporate group.
Severability
Invalid provisions shall be severed without affecting the remaining Agreement.
Entire Agreement
This constitutes the entire agreement regarding Platform use and supersedes prior understandings.
