Purchase of Goods – Terms & Conditions

All prices displayed on the Platform are indicative estimates based on market conditions, specifications, and availability.

Indicative prices: Do not constitute an offer; Are subject to change without notice; May vary due to market movement, availability, or supplier confirmation.

Etalery may: Negotiate pricing with suppliers; Adjust pricing upward or downward; Consolidate or split selections; Decline to proceed if commercial terms cannot be agreed.

A purchase becomes binding only when Etalery issues a final commercial confirmation to the Buyer.

Buyers may: Add Goods to cart; Submit expressions of interest; Request quotation or negotiation.

Submission of a cart or request does not create a binding order.

A binding purchase occurs only when: Etalery confirms final pricing and availability; Buyer accepts the final commercial terms; Payment is received as required.

Etalery reserves the right to: Reject any order; Modify quantities or specifications; Withdraw Goods prior to confirmation.

Unless otherwise agreed in writing: 100% advance payment is required prior to order execution.

Payments shall be made: In the currency specified by Etalery; Through approved banking or payment channels.

Etalery may hold Buyer funds in escrow-like operational accounts until supplier obligations are fulfilled.

Etalery shall not be responsible for: Bank charges; Currency conversion costs; Delays caused by financial institutions.

Goods are sourced from verified manufacturers and suppliers operating within Etalery’s ecosystem.

Suppliers deliver Goods to Etalery’s designated India export hub.

Etalery: Conducts internal checks and documentation verification; Manages export procedures from India; Coordinates shipment to Buyer’s designated destination.

Delivery timelines are indicative and subject to: Supplier fulfilment; Export clearance; Logistics and customs processes.

Etalery manages export formalities from India.

Buyer is solely responsible for: Import compliance in destination country; Customs duties, taxes, and levies; Import licenses and regulatory approvals.

Etalery does not guarantee import clearance in Buyer’s jurisdiction.

Any delay, seizure, or rejection due to import non-compliance is the Buyer’s responsibility.

Title to Goods transfers in accordance with the agreed Incoterms or as specified in Etalery’s confirmation.

Risk of loss or damage transfers: As specified in shipment terms; Or upon handover to logistics provider, unless otherwise agreed.

Insurance coverage, if any, shall be specified separately. If not specified, insurance is the Buyer’s responsibility.

Buyer must inspect Goods promptly upon receipt.

Any discrepancy must be reported within the timeframe specified by Etalery. Failure to notify within the specified period constitutes acceptance.

Variations in: Colour; Weight; Cut; Craftsmanship; Within industry-accepted tolerances shall not constitute defects.

All sales are final, unless expressly agreed otherwise in writing.

Returns or cancellations are not permitted for: Custom or bespoke Goods; Special-order Goods; Goods sourced against confirmed Buyer instruction.

Any approved return is subject to: Etalery’s inspection and approval; Restocking, handling, and administrative charges.

Custom or bespoke Goods are produced strictly to Buyer specifications.

Once production begins: Orders cannot be cancelled; Payments are non-refundable.

Minor deviations inherent to craftsmanship are acceptable and not grounds for rejection.

Buyer acknowledges that: Supplier identities are confidential; Commercial structures are proprietary.

Buyer shall not attempt to: Identify suppliers; Circumvent Etalery; Replicate sourcing outside the Platform.

All purchases are B2B commercial transactions.

Consumer protection laws applicable to retail consumers do not apply.

Etalery shall not be liable for delays or failure caused by events beyond reasonable control, including but not limited to: Acts of government; Trade restrictions; Logistics disruptions; Natural disasters.

Etalery’s liability shall be limited to the amount paid for the specific Goods.

Etalery shall not be liable for: Indirect or consequential losses; Loss of profit or market opportunity.

These Purchase Terms shall be governed by applicable laws as determined under Etalery’s corporate governance framework.

Jurisdiction shall lie with competent courts as designated by Etalery, subject to applicable law.

Etalery may update these Purchase Terms from time to time.

Continued use of the Platform constitutes acceptance of updated terms.

These Purchase Terms constitute the entire agreement governing the purchase of Goods and supersede prior understandings relating to such purchases.
