Buyers Terms & Conditions

Platform access is restricted to verified institutional and professional buyers, including: Jewellery companies; Corporates; Licensed B2B traders; Exporters and authorized commercial entities.

Buyers must successfully complete Etalery’s KYC/KYB, onboarding, and compliance verification prior to accessing inventory or initiating transactions.

Etalery reserves the absolute right to: Approve or reject Buyer applications; Request additional documentation; Restrict, suspend, or terminate Buyer access at its discretion.

Approved Buyers are granted access to a private dashboard enabling them to: View live inventory; Apply filters and selection tools; Review indicative pricing; Submit sourcing requests or expressions of interest.

Buyers do not receive: Supplier or manufacturer identities; Supplier contact details; Off-platform communication rights.

All engagement is managed exclusively by Etalery.

Etalery operates as a managed sourcing platform, not an open marketplace.

Buyers expressly acknowledge and agree that: Buyers do not have direct access to supplier identities; Suppliers do not receive Buyer identity or contact details; All sourcing, negotiation, pricing, and fulfillment are governed by Etalery.

Etalery acts as the central coordinating entity between Buyers and verified suppliers.

All prices displayed on the Platform are indicative only.

Buyers acknowledge that: Displayed prices are not fixed retail prices; Prices may vary due to market movement, availability, specifications, and supplier confirmation; No displayed price constitutes a binding offer.

Adding items to cart, shortlisting inventory, or expressing interest does not create a purchase obligation.

Etalery may conduct live negotiations with suppliers on behalf of Buyers for: Selected inventory; Bulk orders; Bespoke or custom requirements.

Etalery may: Negotiate price adjustments; Consolidate multiple supplier offers; Revise pricing based on confirmed availability.

Etalery retains sole discretion to conclude commercial terms with suppliers.

A purchase becomes binding only when all of the following occur: Final price and terms are confirmed by Etalery; Buyer accepts confirmed commercial terms; Full payment is received by Etalery.

Etalery reserves the right to: Accept or reject any order; Modify quantities based on availability; Decline transactions for compliance or risk reasons.

All payments must be made directly to Etalery in accordance with issued invoices.

Payment terms may include: Advance payment; Partial or full prepayment; Payment in approved currencies only.

Etalery will: Collect Buyer payments; Settle suppliers under separate agreements; Retain applicable platform, service, or handling fees.

Suppliers do not receive payments directly from Buyers.

Unless otherwise specified, all goods are sourced and exported from Etalery’s India export hub.

Etalery manages: Export documentation; Customs clearance from India; International logistics coordination.

Buyers are solely responsible for: Import duties, taxes, VAT, GST, or similar charges; Compliance with destination country laws and regulations; Licenses or permits required in Buyer’s jurisdiction.

Failure to comply with import requirements does not release Buyer from payment obligations.

Unless otherwise agreed in writing: Risk transfers upon shipment from Etalery’s export hub; Title transfers in accordance with agreed Incoterms.

Specific risk allocation may be stated in transaction documentation.

Buyers must inspect goods immediately upon receipt.

Claims relating to: Damage; Quantity discrepancies; Specification mismatches must be reported within the claim period stated in the invoice or shipment documentation.

Failure to notify within the applicable period constitutes final acceptance.

Due to the nature of diamonds and jewellery: Returns are generally not accepted; Cancellations are not permitted once confirmed.

Exceptions may apply only if: Goods materially differ from confirmed specifications; Etalery approves the claim in writing.

Certified diamonds, bespoke, custom-made, or special-order goods are strictly non-returnable.

Buyers are strictly prohibited from: Attempting to identify suppliers; Contacting manufacturers directly; Circumventing Etalery’s managed platform.

Breach of this clause constitutes a material violation and may result in immediate termination.

All non-public information accessed through the Platform is confidential.

Buyers must not disclose: Pricing information; Inventory data; Transaction or platform details.

Confidentiality obligations survive termination.

Buyers must comply with all applicable: AML and sanctions laws; Anti-bribery and anti-corruption laws; Import/export and trade regulations.

Etalery reserves the right to suspend or terminate transactions for compliance review.

All Platform content, data, and materials are owned by Etalery.

Buyers receive no license to reproduce, distribute, or misuse Platform materials.

Inventory descriptions and certifications are provided by suppliers and verified under Etalery’s governance framework.

Etalery does not guarantee: Market value or resale value; Price stability; Commercial profitability.

Etalery acts as a managed sourcing intermediary, not a product guarantor.

To the maximum extent permitted by law: Etalery shall not be liable for indirect or consequential losses.

Etalery’s liability is limited to the transaction value giving rise to the claim.

Buyers agree to indemnify Etalery against claims arising from: Buyer’s breach of these Buyer T&C; Import or regulatory violations; Misuse of the Platform.

Etalery may suspend or terminate Buyer access for: Policy violations; Payment failures; Compliance or risk concerns.

Outstanding obligations survive termination.

These Buyer T&C are governed by the laws applicable to Etalery’s principal place of business, subject to mandatory jurisdictional requirements.

Etalery may amend these Buyer T&C from time to time. Continued use of the Platform constitutes acceptance of updated terms.

These Buyer T&C, together with the Etalery Framework, constitute the entire agreement governing Buyer participation on the Platform.
